1. Eligibility. The Essentia Nation Rewards Take Your Shot Promotion (the "Promotion") is open only to legal residents of the 50 United States, and District of Columbia who are 21 years or older and are an Essentia Nation Rewards Program member (each, an "Entrant"). Employees of Nestlé USA Inc. ("Sponsor"), Brandmovers, Inc. ("Administrator"), and/or any of their respective affiliates, subsidiaries, advertising agencies, or any other company or individual involved with the design, production execution or distribution of the Promotion (collectively with Sponsor, the "Promotion Entities") and their immediate family (spouse, parents and step-parents, siblings and step-siblings, and children and step-children and their respective spouses, regardless of where they reside) and household members of each such employee, whether or not related, are not eligible to enter or win. The Promotion is subject to all applicable federal, state, and local laws and regulations. Participation constitutes Entrant's full and unconditional agreement to these Official Rules and Sponsor's and Administrator's decisions, which are final and binding in all matters related to the Promotion. Winning a prize is contingent upon fulfilling all requirements set forth herein.
To be eligible to participate in this Promotion, each Entrant must be a registered member of the Essentia Nation Rewards loyalty program. Entrants who are not yet members may register for free by visiting www.essentianationrewards.com/register and completing the registration form. Entrants are required to first agree to these Official Rules prior to participating in the Promotion.
2. Promotion Period. The Promotion begins on May 12, 2026, at 12:00:01 AM Eastern Time ("ET") and ends on June 9, 2026, at 11:59:59 PM ET (the "Promotion Period").
3. Promotion Overview. The Promotion consists of an instant win game (the "Game") portion, and a Sweepstakes ("Sweepstakes") portion. Entrants must play the Game for a chance to win an Instant Win prize, and to earn an entry into the Sweepstakes portion of the Promotion automatically upon making a Play of the Game. The only way to enter the Sweepstakes portion of the Promotion is to Play the Game.
4. How to Play/Enter. During the Promotion Period, randomly selected times will be assigned to the various Instant Win prizes (see Official Rule #6 for list of prizes) available to be given away in this Promotion (each, a "Winning Time"), and the first Entrant who completes a Play, and whose Play is properly received and recorded by Sponsor's computer at or after a randomly selected Winning Time will win the indicated Instant Win prize, subject to verification. Limit one (1) Game Play/Sweepstakes entry per person per calendar day.
HOW TO PLAY THE GAME: To participate and play the Game, visit www.essentianationrewards.com ("Website") to find the Game where Entrants can click on the Spin the Wheel button to spin the wheel to reveal if they are an Instant Win prize winner (each, a "Play"). If the message on the screen immediately following a Play reveals a "NICE SHOT" message and winning prize description, you are a "Potential Instant Win Prize" winner of the prize that is revealed on-screen, subject to verification. If the message on screen does not reveal a winning message, you are not a winner of an Instant Win Prize for that Play.
Each Instant Win Prize winner must click on the "Secure My Prize" button on-screen and a pop-up window will appear where each potential winner must then enter their mailing address to receive the Instant Win Prize (excluding the electric scooter or rewards prize winner – see the paragraphs below providing instructions about how to receive an electric scooter or rewards prize). Each Instant Win prize winner will also receive an email notification. Winners (except for a winner of an electric scooter or rewards prize winner – who must instead comply with the requirements below) will have 24 hours to correct any inaccurate address appearing in the winner notification email. If no correction is made or is necessary, the physical Instant Win Prize will be automatically shipped to the winner (except for the winner of an electric scooter, who must comply with the requirements below in order to receive their electric scooter Instant Win prize). Allow 6-8 weeks for automatic mailing of any Instant Win Prize.
FOR INSTANT WINNER OF AN ELECTRIC SCOOTER: Notwithstanding the foregoing, for any Instant Win Prize winner who wins an electric scooter, that winner will receive an email notification that includes a liability and publicity release (where legal) ("Liability Release"), along with the address the electric scooter will be mailed to. The Instant Winner of an electric scooter must complete, sign and submit the Liability Release to the Sponsor or Administrator as instructed in the email, and correct any inaccurate address appearing in the email if necessary, within 48 hours of Sponsor or Administrator sending the email containing the Liability Release to the potential winner, or that winner will forfeit their right to win the electric scooter and the electric scooter will go back into the Game and will be available to be re-awarded time permitting.
FOR INSTANT WINNER OF 100 ESSENTIA NATION REWARDS POINTS: Each Instant Win Prize winner who wins 100 Essentia nation rewards points will receive their points automatically upon clicking the "Close" button on the on-screen. Each Instant Win Prize winner who win's 100 Essentia Nation Rewards points will also receive an email notification confirming the 100 Essentia Nation Rewards points were credited to their Essentia Rewards Nation Program account.
HOW TO ENTER THE SWEEPSTAKES: Upon submitting a Play [regardless of being an Instant Win Prize winner] you will automatically be entered to enter into the Sweepstakes random drawing. Limit one (1) Game play/Sweepstakes Entry per person per calendar day. Neither Sponsor nor Administrator is responsible for stolen, lost, late, damaged, or misdirected mailing of any prize. Neither Sponsor nor Administrator are responsible; for any prize that go into the SPAM or SPAM folder, are unanswered within 24 hours, are undeliverable, or for any technical glitches interfering with the email messages being sent or received.
In the event of a dispute regarding who submitted a Play, the Play/entry will be deemed submitted by the authorized account holder of the e-mail address at the time of entry. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by Internet access provider, online service provider, or other organization (e.g. college, university, school district, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. No automatically generated entries will be accepted.
5. Sweepstakes Grand Drawing. On or about June 10, 2026, Administrator will select one (1) potential Grand Prize winner via a random drawing, to be conducted from among all eligible entries received during the entire Promotion Period. Odds of being selected as the potential Grand Prize winner depend on the number of eligible entries received during the Promotion Period. Sponsor will notify the potential Grand Prize winner via email, to be sent to the email address associated with the potential winner's Essentia Nation Rewards account ("Grand Prize Notification").
The potential Grand Prize winner must respond to the Grand Prize Notification within 48 hours of Administrator sending the Grand Prize Notification message or will forfeit their right to the Grand Prize and an alternate winner may be selected, time permitting, at Sponsor's sole discretion. Administrator may select up to three (3) alternate Grand Prize winners. If, after the initial Grand Prize winner and the three (3) alternates, the Administrator is still unable to verify a potential Grand Prize winner, the Grand Prize will not be awarded.
Upon receipt of Grand Prize winner's response to the Grand Prize Notification, Sponsor or Administrator will then email the potential Grand Prize winner an affidavit of eligibility, liability and publicity release (where legal), along with a W9 tax form (collectively "Prize Release Documents"). The Grand Prize winner must complete, sign and submit the Prize Release Documents to Sponsor or Administrator within 48 hours of Sponsor or Administrator sending the Prize Release Documents to the potential Grand Prize winner, or the potential Grand Prize winner may forfeit their right to the Grand Prize, and an alternate winner may be selected at Sponsor's sole discretion, time permitting. Neither Sponsor nor Administrator is responsible for emails that go into the SPAM or Junk folder, are unanswered within 48 hours, are undeliverable, or for any technical glitches interfering with the email messages being sent or received.
6. Prizes, Approximate Retail Values and Odds: 122 Instant Win Prizes – There will be a total of one hundred twenty-two (122) Instant Win Prizes available to be won in the Game portion of the Promotion, as follows: ten (10) Essentia bucket hats, ARV: $20.00 each; two (2) Sponsor-specified electric scooters, ARV: $500.00 each; ten (10) Essentia sweat towels, ARV: $15.00 each; and one hundred (100) 100 Essentia Nation Rewards Points. Total ARV of all Instant Win Prizes is: $1350.00., there is no fixed retail value associated with Essentia Nation Rewards Points, see rewards website or catalog for details. Odds of being an Instant Win Prize winner depend on the time of day the Game is played in correlation to the pre-determined time assigned to a prize and the number of prizes remaining available. All warranties and guarantees are subject to manufacturers' warranties and guarantees. Prizes are subject to availability, non-transferable, non-negotiable, non-refundable and no substitution will be made except as provided herein at the Sponsor's sole discretion. Sponsor reserves the right to substitute a prize for one of equal or greater value for any reason. All taxes (including, without limitation, state and federal income taxes) and the reporting consequences thereof associated with the use and acceptance of a prize is solely the responsibility of each winner. Sponsor makes no warranties, and hereby disclaims any and all warranties, express or implied, concerning any prize furnished in connection with the Game portion of the Promotion. Actual prizes to be awarded may vary from the prize images depicted in any Promotion materials.
One (1) Sweepstakes Grand Prize – A two-night trip for two (2) people to Los Angeles, CA from July 9, 2026, through July 11, 2026. Trip includes: round-trip coach-class airfare for the Grand Prize winner and one (1) guest from a Sponsor-approved major airport nearest winner's residence to the Los Angeles, CA departing on July 9, 2026, and returning on July 11, 2026; two (2) nights hotel accommodations at a Sponsor-specified hotel (one standard room/double occupancy) in or near Beverly Hills, CA, checking in on July 9, 2026 and checking out on July 11, 2026; two (2) tickets for cabana access at an Essentia-sponsored Soccer Hotel Pool Watch Party at the Maybourne Beverly Hills Hotel (includes food and beverages for Grand Prize winner and their guest), on July 10, 2026, and; a travel stipend of $500.00, awarded in the form of a check made out to the Grand Prize winner. ARV: up to $6,000.00. Grand Prize winner and guest must depart on July 9, 2026 and return on July 11, 2026 (or on any other date if and only if Sponsor in the Promotion changes the dates for any reason, at its sole discretion) or Grand Prize winner will forfeit their right to the Grand Prize in its entirety, which may be awarded to an alternate, time permitting, at Sponsor's sole discretion. All other expenses (including, without limitation, entertainment, meals/beverages, spa treatments, souvenirs, shopping, incidentals, and all other expenses) and applicable taxes (including applicable income taxes) incurred are the Grand Prize winner's sole responsibility. Once made, travel dates are final and will not be extended. Grand Prize is non-transferable, not substitutable and cannot be exchanged for cash, except Sponsor reserves the right, in its sole discretion, to substitute the Grand Prize, or any portion thereof, for one of equal or greater value at its sole discretion. The Grand Prize winner and guest must travel together on the same itinerary, unless otherwise approved by Sponsor in its sole discretion and in such instances, Sponsor will not be responsible for any guest transportation (and any difference between the actual value and the stated ARV in these official rules will not be awarded). Guest must be at least 21 years of age or older, and complete, sign and submit a liability and publicity release (where legal) as a condition of being named the official guest of the Grand Prize winner. Grand Prize winner must have a valid credit card to check into the hotel for incidentals. If the Grand Prize winner and/or their guest miss the initial departure as scheduled, the Grand Prize winner will forfeit the Grand Prize in its entirety, unless otherwise approved by Sponsor in its sole discretion. If the Grand Prize winner and/or their guest are not present for the designated return flight, the winner is solely responsible for the return to their home airport. Sponsor is not responsible for any flight delays or cancellations and in the event such delays or cancellations occur, Grand Prize winner may be required to forfeit their right to the Grand Prize. In the event the Grand Prize winner resides within a 300-mile radius of Beverly Hills, CA, the winner will receive Sponsor-specified ground transportation in lieu of airfare and any difference between the actual ARV and stated ARV will not be awarded.
The total ARV of all Prizes (Instant Win Prizes and the Grand Prize) to be awarded in the Promotion is $7,350.00. ALL POTENTIAL WINNERS ARE SUBJECT TO VERIFICATION BY ADMINISTRATOR AND SPONSOR'S DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE PROMOTION.
Entry Conditions and Release: By entering, each Entrant agrees to release, indemnify, defend and hold harmless the Promotion Entities from and against any and all claims, expenses, and liability, including but not limited to negligence and damages of any kind to persons and property, including but not limited to invasion of privacy (under appropriation, intrusion, public disclosure of private facts, false light in the public eye or other legal theory), defamation, slander, libel, violation of right of publicity, infringement of trademark, copyright or other intellectual property rights, property damage, or death or personal injury arising out of or relating to a participant's entry, creation of an entry or submission of an entry, participation in the Promotion, acceptance or use or misuse of prize (including any travel or activity-related thereto) and/or the broadcast, exploitation or use of entry.
General Conditions: Sponsor reserves the right to cancel, suspend and/or modify the Promotion, or any part of it, for any reason whatsoever, including, without limitation, fire, flood, natural or man-made epidemic of health of other means, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, public health crisis, order of any court or jurisdiction or if any fraud, technical failures or any other factor beyond Sponsor's reasonable control impairs the integrity or proper functioning of the Promotion, as determined by Sponsor in its sole discretion. If the Promotion is terminated before the designated end date, Sponsor will (if possible) award any remaining prizes in a random drawing from all eligible, non-suspect entries received for the Promotion as of the date of the event giving rise to the termination or as otherwise deemed fair and appropriate by Sponsor. Inclusion in such drawing shall be each Entrant's sole and exclusive remedy under such circumstances. Entrant further agrees and acknowledges that Sponsor reserves the right to forfeit or award any unclaimed or leftover prize at its sole discretion. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Promotion or to be acting in violation of these Official Rules or any other promotion or in an unsportsmanlike or disruptive manner and void all associated entries, Plays, and/or prizes claims. Any attempt by any person to deliberately undermine the legitimate operation of the Promotion may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Only the type and quantity of prizes described in these Official Rules will be awarded. The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.
Limitations of Liability: The Promotion Entities as set forth above are not responsible for: (1) for late, lost, jumbled, garbled, misdirected, delayed, incomplete, incorrect, or inaccurate entries, Promotion plays, prize claims, email, mail, or other communications of any kind, whether caused by any of the equipment or programming associated with or utilized in this Promotion or by any human error; (2) any incorrect or inaccurate information, whether caused by Entrants, printing errors or by any of the equipment or programming associated with or utilized in the Promotion; (3) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (4) unauthorized human intervention in any part of the entry process or the Promotion; (5) technical, network, mechanical, typographical, human or other error or problem which may occur in connection with the Promotion, including, but not limited to, errors or problems which may occur in the administration of the Promotion or the processing of entries, Promotion Plays or prize claims, the announcement of the prizes, or in any Promotion-related materials; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrant's participation in the Promotion or receipt or use or misuse of any prize (including any travel or activity-related thereto). If for any reason an entry or Play is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, Entrant's sole remedy is another entry or Promotion play in the Promotion, provided that the Promotion has not been terminated. If due to a computer programming or other error, more Entrants are notified and/or Instant Win Prizes are claimed than intended to be awarded according to Rule #6, Instant Win Prizes will be awarded in a random drawing from among all valid prize claims received. Inclusion in such a drawing shall be Entrant's sole and exclusive remedy under the circumstances. If a drawing is required, it will be conducted by the Administrator, who is independent from Sponsor and whose decisions shall be final. In no event will Sponsor be liable to award more than the stated number of Instant Win prizes in Rule #6. All potentially winning Plays are subject to verification at the sole discretion of Sponsor.
7. Disputes/Governing Law: Entrant agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with this Promotion, other than those concerning the administration of the Promotion or the determination of winners or for any disputes arising from the loss or injury from the participation in a prize, shall be resolved individually, without resort to any form of class action; (ii) any disputes arising out of these Official Rules (except for any disputes arising from the loss or injury from the use of prizes) shall be submitted to final, binding arbitration conducted in the State of Virginia under the Arbitration Rules and Procedures of the Judicial Arbitration and Mediation Services Inc. before a single, neutral arbitrator who is a formerly retired Virginia state or federal court judge with experience in entertainment matters who shall follow Virginia law and the Federal Rules of Evidence and have no authority to award punitive damages. Either party may enforce a final arbitration award in any court of competent jurisdiction in the state of Virginia, including an award of costs, fees and expenses incurred in enforcing the award. Notwithstanding the foregoing, Released Parties shall be entitled to seek injunctive relief (unless otherwise precluded by any other provision of these Official Rules) in the state and federal courts of the state of Virginia. Any dispute or portion thereof, or any claim for a particular form of relief (not otherwise precluded by any other provision of these Official Rules), that may not be arbitrated pursuant to applicable state or federal law may be heard only in a court of competent jurisdiction in the state of Virginia; (iii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion, but in no event attorneys' fees; and (iv) under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Entrant and Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of Virginia, without giving effect to any choice of law or conflict of law rules (whether of the State of Virginia or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Virginia.
8. Data Collection: Information collected from Entrants in connection with the Promotion shall be used in accordance with Sponsor's privacy policy, available at https://www.nestleusa.com/privacy.
