1. Eligibility: Nestle Essentia Nation Rewards Change The Equation Summer Sweepstakes (“Sweepstakes”) is open to legal residents of the 50 United States and District of Columbia who are 18 years of age or older (or 19 years of age or older for residents of AL and NE) and are an Essentia Nation Rewards Program member (each, an “Entrant”). Void where prohibited. No purchase necessary to enter the Sweepstakes. Employees of Nestlé USA Inc. (“Sponsor”), Brandmovers, Inc. (“Administrator”), and/or any of their respective affiliates, subsidiaries, advertising agencies, or any other company or individual involved with the design, production execution or distribution of the Sweepstakes (collectively with Sponsor, the "Sweepstakes Entities") and their immediate family (spouse, parents and step-parents, siblings and step-siblings, and children and step-children and their respective spouses, regardless of where they reside) and household members of each such employee, whether or not related, are not eligible to enter or win. The Sweepstakes is subject to all applicable federal, state, and local laws and regulations. Participation constitutes Entrant's full and unconditional agreement to these Official Rules and Sponsor's and Administrator’s decisions, which are final and binding in all matters related to the Sweepstakes. Winning a prize is contingent upon fulfilling all requirements set forth herein.
2. Sweepstakes Period: The Sweepstakes begins at 12:00:00 AM Eastern Time (“ET”) on July 18, 2025, and ends at 11:59:59 PM ET on September 8, 2025 (the "Sweepstakes Period").
3. How to Enter the Sweepstakes: You must be a registered member of the Essentia Nation Rewards loyalty program. Entrants who are not yet members may register for free by visiting www.essentianationrewards.com/register and completing the registration form. Upon registration for new members, or logging in for existing members during the Sweepstakes Period, the Entrant will automatically receive one (1) entry into the Sweepstakes random drawing. Limit one (1) entry via the registration method of entry per Entrant during the entire Sweepstakes Period. Each Entrant can earn up to seven (7) bonus entries as follows (each, a “Bonus Entry” or collectively, “Bonus Entries”). To earn Bonus Entries, visit the Sweepstakes website at www.essentianationrewards.com/sweepstakes (“Website”) to access the Sweepstakes gameboard (“Gameboard”). Then, each Entrant can complete the following activities, as listed on the Gameboard, to earn up to seven (7) Bonus Entries (Limit of one (1) Bonus Entry per receipt, refer to section 3.a).i). for details).
a) Hydration Elevated Activity (Receipt Upload): There are two ways to enter this activity. i) Entrants who purchase any Qualifying ESSENTIA® Product during the Sweepstakes Period (a “Qualifying Purchase”), visit the Website and follow the directions on the Gameboard to upload a copy of their receipt showing the Qualifying Purchase will receive one (1) Bonus Entry in the Sweepstakes. Limit of one (1) Bonus Entry per receipt, regardless of the number of items on the receipt, during the Sweepstakes Period. Each verified receipt will also earn the entrant 10 points per dollar spent on Qualifying ESSENTIA® Products, listed on the receipt, through the Essentia Nation Rewards program. For purposes of this Sweepstakes, “receipt” of an entry occurs when Sponsor/Administrator’s server records the entry information resulting from the Entrant selecting the “SUBMIT” button. A Qualifying Purchase is defined as participating Essentia products listed on essentianationrewards.com receipt upload page > drop down menu, purchased by Entrant during the Program, from a participating U.S. retailer, in store or online, and for which Entrant has and can show proper purchase documentation. Once the photo of the receipt showing a Qualifying Purchase is received and verified by Sponsor or Administrator, the Gameboard piece will reflect “1 Entry Earned” in the corresponding Gameboard space. If a receipt is rejected, the Gameboard space will reopen, allowing the entrant to upload a new receipt. Each receipt may only be used once and must meet all specified requirements to be considered valid. Automated entries (including but not limited to entries submitted using any robot, script, macro, or other automated service) are not permitted and will be disqualified.
ii) FREE NO PURCHASE METHOD OF ENTRY: To receive Bonus Entries without making a purchase, Entrants can hand print/type their complete name, address, city, state, zip code, email address and telephone number on a 3” x 5” card/paper and mail in a first- class stamped envelope to: Essentia Nation Rewards Summer 2025 Sweepstakes, c/o Brandmovers, PO Box 1807, Clayton, GA 30525, to be postmarked by September 8, 2025 and received by September 15, 2025 to be eligible for the random drawing. Limit of one (1) mail-in bonus entry per outer envelope. Sponsor is not responsible for lost, late, delayed, postage due, stolen, mutilated, or misdirected mail-in entries. Entrant must be a member of Essentia Nation Rewards to earn Bonus Entries. Limit of five (5) Bonus Entries via this Hydration Elevated Activity (regardless of whether entries are made via the purchase method or non-purchase mail-in method, or a combination of purchase and non-purchase methods) during the Sweepstakes Period.
b) To earn one (1) Bonus Entry via this method of entry, Entrants must visit the Website during the Sweepstakes Period and enter the Promo Code posted exclusively on Essentia’s official Instagram profile bio into the designated field on the entry form. The same Promo Code will remain active for the entire duration of the Sweepstakes Period, and no alternative or additional codes will be provided. Upon successful entry of the correct code and submission of the form, the Entrant will receive one (1) Bonus Entry into the Sweepstakes random drawing. Limit of one (1) Bonus Entry via this method per Entrant during the entire Sweepstakes Period. Incorrect or incomplete codes will be deemed invalid and will not qualify for entry. This Sweepstakes is not sponsored, endorsed, administered by, or associated with Instagram.
c) To earn one (1) Bonus Entry via this method of entry, Entrants must visit the Website during the Sweepstakes Period, find Share The Refreshment Activity on the Gameboard which includes a link for Entrant to refer a friend to the Sweepstakes by following the instructions on the Gameboard. Once the referral form is successfully submitted, the referring Entrant will receive one (1) Bonus Entry into the Sweepstakes random drawing. Limit of one (1) Bonus Entry via this method of entry per Entrant during the entire Sweepstakes Period. Once submitted, an entry cannot be deleted, canceled, or modified. All entries become the property of the Sponsor. Sponsor reserves the right, in its sole discretion, to void any and all entries of an Entrant who submits more than the permitted entry based on the specific method of entry listed above, or who the Sponsor believes has attempted to tamper with, influence, or impair the administration, security, fairness, or proper entry into this Sweepstakes.
Once submitted, an entry cannot be deleted, canceled, or modified. All entries become the property of the Sponsor. Sponsor reserves the right, in its sole discretion, to void any and all entries of an Entrant who submits more than the permitted entry based on the specific method of entry listed above, or who the Sponsor believes has attempted to tamper with, influence, or impair the administration, security, fairness, or proper entry into this Sweepstakes.
Potential winners will be selected via a random drawing from among all eligible entries received during the Sweepstakes Period, to be conducted by Administrator, to occur on or about September 16, 2025. Potential winners will be notified by email on or about the day of the random drawing. The potential winners must respond to the winner notification email within 24 hours of time sent or will forfeit their right to the Prize and that Prize may then be awarded to an alternate winner, at Sponsor’s sole discretion, and time permitting. Potential Grand Prize winner and guest will then be required to complete and return an Affidavit of Eligibility and Liability and Publicity Release (where legal) within 7 days of issuance (“Winner Release”), or Grand Prize will be forfeit (at Sponsor’s sole discretion). Potential Grand Prize winner will also be required to execute and return an IRS Form W-9 (and will receive a subsequent 1099 IRS Form for the actual retail value of the prize) along with a Winner Release and any other documentation that Sponsor may require and return it by the date specified by Sponsor in the notification, or prize may be forfeited in its entirety and another potential winner may be selected, time permitting. Grand Prize winners will be issued a 1099 for the actual value of the prize for the calendar in which the prize is awarded. THE POTENTIAL WINNERS ARE SUBJECT TO VERIFICATION BY ADMINISTRATOR AND SPONSOR’S DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE SWEEPSTAKES.
Odds of winning depend on the number of eligible entries received throughout the Sweepstakes Period.
a) One (1) Grand Prize – A trip for the Grand Prize Winner and one (1) guest (“Guest”) to New
York City, NY. Trip includes: roundtrip coach-class airfare for two (2) people from major airport
nearest winner’s residence to a major airport in New York City, NY (as determined by Sponsor
in its sole discretion); three (3) nights hotel accommodations for two (2) people (one standard
room/double occupancy) at a Sponsor-specified hotel in New York City, NY; a workout session
at Gleason’s Gym for winner and their guest;a summer supply of Essentia Ionized Alkaline water for winner consisting of 2 cases per month over 3 months; and $500.00 cash to
grand prize winner for spending money. Approximate Retail Value (“ARV”): up to $3,500.00.
All expenses not specifically listed in these Official Rules (including but not limited to meals, ground
transportation, gratuities, incidental charges, additional baggage fees and hotel fees) are sole
responsibility of the Grand Prize Winner. The Grand Prize will be awarded only if the potential Grand
Prize Winner fully complies with these Official Rules. The winner and guest must travel together on the
same itinerary. If winner decides not to bring a guest on the trip, no credit or refunds will be awarded.
Prize consists of only those items specifically listed as part of the prize. In the event that the Grand Prize
Winner and/or Guest is unable to participate in the scheduled workout session at Gleason’s Boxing
Gym for any reason, including but not limited to scheduling conflicts, medical reasons, or personal
choice, Sponsor may, in its sole discretion, provide an alternative experience of equal or greater value.
Such alternative experience shall be determined by Sponsor in its sole and absolute discretion. Winner’s
guest must be at least 18 years of age or older (or 19 if a resident of AL or NE), and will be required to
complete and sign a Liability/Publicity Release within the time period specified. Valid credit card and
government identification required upon hotel check-in. Additional air carrier baggage charges are the
responsibility of each traveling passenger. Any optional service fees including seat selection, meals,
and drinks are not included and are the responsibility of the winner and guest. Sponsor will not replace
any lost, mutilated, or stolen tickets, travel vouchers or certificates.
or will be forfeited in its entirety. Travel restrictions and black out dates may apply. If winner is unable to travel on dates specified and agreed to, prize will be forfeited and another winner may be chosen. Once made, all travel dates are final. All travel arrangements will be made by Sponsor through a carrier of Sponsor’s choice. Travel is subject to the terms and conditions set forth in these official rules and those set forth by the Sponsor’s hotel and airline carrier of choice as detailed in the passenger ticket or contract. In the event the Grand Prize winner resides within a 150 mile radius of New York City, ground transportation will be provided in lieu of airfare, and in such case, any difference in the actual retail value and stated retail value will not be awarded. Actual value may vary based on airfare fluctuations and distance between departure and destination. Winner will not receive difference between actual and approximate retail value.
b) – An Essentia Water branded Electric Scooter. ARV: $500.00 each. Prize is subject to the manufacturer's warranties and guarantees.
c) s – An Essentia branded Pool Float. ARV: $50.00 each.
Prizes are not transferable and may not be redeemed for cash value. All federal, state and local taxes on prizes are the sole responsibility of the winner. No substitutions of prize, except Sponsor may substitute a prize, or portion thereof, for one of equal or greater value at Sponsor’s sole discretion. All prize details are at Sponsor’s sole discretion. Allow 6-8 weeks for delivery of first and second prizes. Shipping at Sponsor expense. Winners acknowledge that once a prize is shipped, Sponsor has no control over delivery or delivery time, and any loss or theft of prize once delivered will be the responsibility of the Winner, and no replacement prize will be supplied. All prizes in connection with the Sweepstakes are provided “as is” without warranty of any kind, either express or implied, and Sponsor hereby disclaims all such warranties, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose and/or non-infringement. The total ARV of all prizes to be awarded in this Sweepstakes is $10,500.00.
By entering, each Entrant agrees to release, indemnify, defend and hold harmless the Sweepstakes Entities from and against any and all claims, expenses, and liability, including but not limited to negligence and damages of any kind to persons and property, including but not limited to invasion of privacy (under appropriation, intrusion, public disclosure of private facts, false light in the public eye or other legal theory), defamation, slander, libel, violation of right of publicity, infringement of trademark, copyright or other intellectual property rights, property damage, or death or personal injury arising out of or relating to a participant's entry, creation of an entry or submission of an entry, participation in the Sweepstakes, acceptance or use or misuse of prize (including any travel or activity-related thereto) and/or the broadcast, exploitation or use of entry.
Sponsor reserves the right to cancel, suspend and/or modify the Sweepstakes, or any part of it, for any reason whatsoever, including, without limitation, fire, flood, natural or man- made epidemic of health of other means, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, public health crisis, order of any court or jurisdiction or if any fraud, technical failures or any other factor beyond Sponsor's reasonable control impairs the integrity or proper functioning of the Sweepstakes, as determined by Sponsor in its sole discretion. If the Sweepstakes is terminated before the designated end date, Sponsor will (if possible) award the Prizes in a random drawing from all eligible, non-suspect entries received for the Sweepstakes as of the date of the event giving rise to the termination or as otherwise deemed fair and appropriate by Sponsor. Inclusion in such drawing shall be each Entrant’s sole and exclusive remedy under such circumstances. Entrant further agrees and acknowledges that Sponsor reserves the right to forfeit or award any unclaimed or leftover Prize at its sole discretion. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of these Official Rules or any other Sweepstakes or in an unsportsmanlike or disruptive manner and void all associated entries and/or prizes claims. Any attempt by any person to deliberately undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Only the type and quantity of prizes described in these Official Rules will be awarded. The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.
The Sweepstakes Entities as set forth above are not responsible for: (1) for late, lost, jumbled, garbled, misdirected, delayed, incomplete, incorrect, or inaccurate entries, prize claims, email, mail, or other communications of any kind, whether caused by any of the equipment or programming associated with or utilized in this Sweepstakes or by any human error; (2) any incorrect or inaccurate information, whether caused by Entrants, printing errors or by any of the equipment or programming associated with or utilized in the Sweepstakes; (3) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (4) unauthorized human intervention in any part of the entry process or the Sweepstakes; (5) technical, network, mechanical, typographical, human or other error or problem which may occur in connection with the Sweepstakes, including, but not limited to, errors or problems which may occur in the administration of the Sweepstakes or the processing of entries, or prize claims, the announcement of the prizes, or in any Sweepstakes-related materials; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrant's participation in the Sweepstakes or receipt or use or misuse of any prize (including any travel or activity- related thereto). If for any reason an entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, Entrant's sole remedy is another entry in the Sweepstakes, provided that the Sweepstakes has not been terminated.
Entrant agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes, other than those concerning the administration of the Sweepstakes or the determination of Winners or for any disputes arising from the loss or injury from the participation in a Prize, shall be resolved individually, without resort to any form of class action; (ii) any disputes arising out of these Official Rules (except for any disputes arising from the loss or injury from the use of Prizes) shall be submitted to final, binding arbitration conducted in the State of Virginia under the Arbitration Rules and Procedures of the Judicial Arbitration and Mediation Services Inc. before a single, neutral arbitrator who is a former or retired Virginia state or federal court judge with experience in entertainment matters who shall follow Virginia law and the Federal Rules of Evidence and have no authority to award punitive damages. Either party may enforce a final arbitration award in any court of competent jurisdiction in the state of Virginia, including an award of costs, fees and expenses incurred in enforcing the award. Notwithstanding the foregoing, Released Parties shall be entitled to seek injunctive relief (unless otherwise precluded by any other provision of these Official Rules) in the state and federal courts of the state of Virginia. Any dispute or portion thereof, or any claim for a particular form of relief (not otherwise precluded by any other provision of these Official Rules), that may not be arbitrated pursuant to applicable state or federal law may be heard only in a court of competent jurisdiction in the state of Virginia; (iii) any and all claims, judgments and awards shall be limited to actual out-of- pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys' fees; and (iv) under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out- of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Virginia, without giving effect to any choice of law or conflict of law rules (whether of the State of Virginia or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Virginia.
Information collected from Entrants in connection with the Sweepstakes shall be used in accordance with Sponsor’s privacy policy, available at https://www.nestleusa.com/privacy.
